| 内容記述 | [本旨]1932年に公開された，バーリー・ミーンズ著『近代株式会社と私有財産』は，株式会社制度を社会・経済制度として研究する，第二次世界大戦前の，制度派経済学の代表的著作の１つとみなせる。この本は，シェルドンが，管理を労働と制御の関係から検討したため，財務の問題，所有と制御の分離，いわゆる経営者支配について検討したことで高い評価を獲得した。また，彼らは，進化論的科学の見地から，事業（enterprise）として，巨大会社 （huge company）が形成される過程を株式会社制度（corporate system）の発展として捉え，歴史分析した。なお，彼らも，ビジネスとマネジメントを用語として用いるが，たとえば，Federal district court によれば，従属者 （subsidiary）による活動のコースを指揮する，親会社は，マネジャーと，取引のプリンシパルしての責任があるとみなしたように，プリンシパルとエージェントという用語や，マネジャー（経営者）と株主・持ち分保有者という用語により，経営者支配が，債権者と株主の保護から検討された。 [Abstract] In 1932, Berle, A. and Means, G. publisched their book "The Modern Corporation and Private Property". They study coporation system as social economic system. This book is one of most popular of institutional economic writings before the second world war. While Scheldon, O. researched into the relation between labouer and ownership and omited financial system, Berle, A. and Means, G. study on the separation of ownership and control (management control) from financial approach and made this book long seller book. They regarded the development tword huge company or enterprise as the progress of corporate system and made an historical analysis of this progress in terms of evolutionary science. They used terms "business" and "management". Federal district court adapted the view that parent corporation directing the course of action to subsidiary (agent) has responsibility for manager and principal of transaction. Many of court and jurist use legal terms "principal" and "agent" or "manager(management)" and "stockholder (share holder)" and investigated the management control from the protection of crediter and stockholder. |
