| 内容記述 | 【概要】本論文は, インド系多国籍企業による先進国系多国籍企業の買収がどのような決定因によって生成しているかを理論と実証の両面から説明することを目的とする。そのため, 先進国系多国籍企業の生成と発展を検討する際に用いられた取引コスト論が有効な説明ツールになるかどうかを検討し, その代替理論を導く必要性を吟味する。インド系多国籍企業による先進国系多国籍企業の買収に関わる必要条件の理論的な検討に加えて, Tata SteelのCorus買収事例を踏まえ, 上記買収の必要十分条件が兼ね備わっているかどうかを検証する。こうした一連の理論的な検討および事例分析を踏まえ, 新興多国籍企業理論の構築に際して必要十分条件を見出すとしよう。 | |||||||||

| 内容記述 | This paper aims to set up the theory of Indian Multinationals’ acquiring multinationals from developed countries based on the existing theories derived from transaction cost theory and the alternative theory to it in terms of illustrating the causes and effects of Tata Steel‘s acquiring Corus happened in 2006. We might find the causes and effects of the above case should be lent itself to emphasize the importance of not only the strength of managerial resources retained in the company acquired but also the acquiring company’s internal resources. Based on the above fact finding to clarify some determinants of the Indian multinational, the dynamic capability of an acquirer should become more important over time after M&A. | |||||||||
